Quotes and Proposals
All proposals and quotations remain valid for the period specified in the proposal,
unless otherwise stated.
Payments
Unless otherwise agreed in writing:
- Projects may require an upfront deposit before work begins.
- Remaining balances are due according to the agreed payment schedule.
- Ongoing services are billed on a recurring basis.
- Late payments may delay or suspend project work.
Any applicable taxes, duties, currency conversion fees, or banking charges are the
responsibility of the client unless otherwise agreed.
Client Responsibilities
Clients agree to:
- Provide accurate information.
- Supply required content, branding assets, and approvals on time.
- Maintain rights to any materials they provide.
- Respond promptly to project requests.
Delays in client responses may affect project timelines.
Intellectual Property
Unless otherwise agreed:
- Clients retain ownership of materials they provide.
- Upon full payment, ownership of the completed project deliverables transfers
to the client, excluding third-party software, plugins, fonts, stock assets,
templates, or licensed components that remain subject to their respective licenses. - ViableVista retains ownership of its proprietary processes, tools,
methodologies, reusable code libraries, and know-how.
Third-Party Services
Projects may rely on third-party providers including hosting companies, domain
registrars, plugins, APIs, payment gateways, analytics platforms, or software vendors.
ViableVista is not responsible for service interruptions, pricing changes,
feature changes, or outages caused by third-party providers.
SEO Disclaimer
SEO results cannot be guaranteed.
Search engine rankings depend on numerous factors outside our control, including
algorithm changes, market competition, website history, and client implementation
decisions.
AI Search Optimization Disclaimer
AI-generated search experiences evolve continuously.
While we apply recognized optimization practices, ViableVista cannot guarantee
inclusion, visibility, citations, rankings, or traffic from AI-powered search
platforms or assistants.
Limitation of Liability
To the maximum extent permitted by applicable law, ViableVista shall not be liable
for indirect, incidental, special, consequential, or punitive damages, including
loss of profits, revenue, business opportunities, data, or goodwill arising from
the use of our website or services.
Where liability cannot be excluded, it will be limited to the amount paid by the
client for the specific service giving rise to the claim.
Termination
Either party may terminate services according to the agreed contract terms.
Outstanding payments for completed work remain payable upon termination.
Governing Law
These Terms shall be governed by the laws specified in the service agreement or,
where no separate agreement exists, the applicable laws of the jurisdiction in
which ViableVista operates, subject to any mandatory consumer protection laws
applicable in the client’s location.
Changes
We may update these Terms and Conditions at any time.
Continued use of our website constitutes acceptance of the revised Terms.
